Clause 1: Scope
"Advisory services as mutually agreed" means you just signed a blank check. The guide gives you the specific language to define scope so every "quick call" is either in-scope or a change order.
Clause 2: IP
One sentence assigns everything you create to the client, including frameworks you built years before this engagement. The carve-out language is in the guide.
Clause 3: Indemnification
No cap on indemnification means no limit on personal exposure. A single sentence fixes this. Most consultants never add it.
Clause 4: Non-Compete
"Any competitor for 24 months" can lock you out of your entire market segment for two and a half years. How to narrow it to something enforceable and survivable.
Clause 5: Payment
You are an unsecured creditor for two months on every engagement. The payment structure that protects your cash flow is standard in other professional services. It should be standard in yours.
Before You Sign covers 40+ contract scenarios with fill-in-the-blank redline language and negotiation scripts for when clients push back. Built for physician consultants, advisory board members, and speakers.
